Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Boréale Interactive Studio Inc. ("we," "us," or "our"), a corporation incorporated under the laws of Canada with its principal place of business in Quebec, Canada, governing your use of the QRious mobile application ("the App").

By downloading, installing, or using QRious, you confirm that you are at least 13 years of age (or have obtained parental consent if required in your jurisdiction), that you have read and understood these Terms, and that you agree to be bound by them.

If you do not agree to these Terms, do not download or use the App.

1. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use QRious on iOS devices that you own or control, solely for your personal, non-commercial purposes.

This license does not include the right to:

  • Modify, adapt, translate, or create derivative works based on the App
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Remove or alter any proprietary notices or labels on the App
  • Use the App in any manner that could damage, disable, or impair the App or our servers
  • Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the App
  • Use the App for any unlawful purpose or in violation of any applicable law or regulation

2. Subscriptions & In-App Purchases

Free and Premium Features

QRious offers both free features and premium features accessible through a paid subscription ("QRious Premium"). Free features are available to all users without charge. Premium features require an active subscription.

Subscription Plans

QRious Premium is available on the following subscription plans, at the prices displayed within the App at the time of purchase:

  • Weekly subscription
  • Monthly subscription
  • Annual subscription

Prices are set in your local App Store currency and may vary by region. The current price is always displayed within the App before you confirm a purchase.

Free Trial

We may offer a free trial period for QRious Premium. If a free trial is offered:

  • The trial period begins immediately upon activation
  • You will not be charged during the free trial period
  • At the end of the free trial, your subscription will automatically renew at the applicable paid rate unless you cancel before the trial ends
  • The exact trial duration and what happens at its end are clearly stated on the subscription screen within the App

Billing & Renewal

All subscriptions are billed through your Apple ID account via the App Store. By subscribing, you authorize Apple to charge your payment method on a recurring basis at the frequency of your chosen plan.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

We do not have access to your payment information. All billing is managed by Apple.

Managing and Cancelling Your Subscription

You can manage or cancel your subscription at any time through your iOS device:

Settings → [Your Name] → Subscriptions → QRious

Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the paid period. We do not issue refunds for partial subscription periods.

Refunds

All purchases made through the App Store are subject to Apple's refund policy. We do not process refunds directly. To request a refund, please visit https://reportaproblem.apple.com.

Restore Purchases

If you have previously purchased a QRious subscription and need to restore your access (e.g. after reinstalling the App or on a new device), use the "Restore Purchases" button available in the App's settings or subscription screen. Restoration is processed through your Apple ID.

Price Changes

We reserve the right to change subscription prices. If we change the price of your active subscription, we will provide you with reasonable notice through Apple's standard subscription price change notification system. Continued use of the App after a price change takes effect constitutes acceptance of the new price.

3. Acceptable Use

You agree to use QRious only for lawful purposes. Without limiting the foregoing, you agree not to use QRious to:

  • Scan, create, or distribute QR codes that link to malicious content, phishing sites, malware, or any content that is illegal, harmful, or deceptive
  • Violate any applicable local, provincial, national, or international law or regulation
  • Infringe or violate the intellectual property rights or other rights of any third party
  • Harass, abuse, or harm another person
  • Attempt to gain unauthorized access to any part of the App or related systems

We are not responsible for the content encoded in QR codes scanned using QRious. You assume all risk associated with following URLs or other instructions contained in QR codes you scan.

4. User-Generated Content

QRious allows you to create QR codes containing content of your choice ("User Content"). You retain full ownership of the QR codes you create and the content encoded within them.

By creating QR codes using QRious, you represent and warrant that:

  • You have the right to create and use the content encoded in those QR codes
  • The content does not violate any applicable law or third-party rights
  • The content is not obscene, defamatory, threatening, or otherwise objectionable

Since all User Content is stored locally on your device and is never transmitted to our servers, we have no ability to monitor, moderate, or access it. You are solely responsible for your User Content.

5. Intellectual Property

QRious, including its name, logo, design, code, and all content within the App (excluding User Content), is owned by Boréale Interactive Studio Inc. and is protected by copyright, trademark, and other intellectual property laws of Canada and applicable international laws.

"QRious" and the QRious logo are trademarks of Boréale Interactive Studio Inc. You may not use our trademarks without our prior written consent.

6. Privacy

Your use of QRious is also governed by our Privacy Policy, available at borealeinteractivestudio.com/privacy/qrious, which is incorporated into these Terms by reference. By using QRious, you also agree to the Privacy Policy.

QRious integrates with the following third-party services:

We are not responsible for the practices of these third-party services.

8. Disclaimers

No Warranty

QRious is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the App will be uninterrupted, error-free, or free of viruses
  • That any defects in the App will be corrected
  • That the App will be compatible with all devices or iOS versions

QR Code Content

We make no representations about the safety, accuracy, or legality of content encoded in QR codes scanned using QRious. Always exercise caution before following URLs from QR codes, particularly in public spaces. QRious displays URL previews to help you make informed decisions.

Data Loss

Because all your QRious data (scan history, folders, generated codes) is stored locally on your device, we have no ability to recover it in the event of device loss, damage, or factory reset. We recommend regularly backing up your device via iCloud or iTunes to preserve your QRious data.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Boréale Interactive Studio Inc., its directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of data, profits, goodwill, or other intangible losses
  • Damages resulting from your use of or inability to use the App
  • Damages resulting from content obtained through the App, including QR code destinations

Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of QRious shall not exceed the greater of: (a) the amount you paid for QRious in the 12 months preceding the claim, or (b) CAD $100.

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable law, including the Consumer Protection Act (Quebec) and other mandatory consumer protection legislation.

10. Indemnification

You agree to indemnify, defend, and hold harmless Boréale Interactive Studio Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of QRious; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to QRious at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.

You may stop using QRious at any time by deleting it from your device. Subscription cancellation is handled separately as described in Section 2.

Upon termination, your license to use the App ends immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

12. Updates to the App

We may release updates to QRious from time to time through the App Store. These updates may modify or remove features, fix bugs, or introduce new functionality. We are not obligated to provide any particular updates or to maintain any specific feature set. Continued use of the App after an update constitutes acceptance of any changes.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of QRious that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, District of Quebec.

We encourage you to contact us first at borealeinteractivestudio@gmail.com before initiating any formal dispute. We will make a good-faith effort to resolve concerns within 30 days.

14. Apple-Specific Terms

As QRious is distributed through the Apple App Store, the following provisions apply and are required by Apple:

Acknowledgement

These Terms are between you and Boréale Interactive Studio Inc. only, and not with Apple Inc. ("Apple"). Apple is not responsible for QRious or its content.

Scope of License

The license granted to you for QRious is limited to a non-transferable license to use QRious on any Apple-branded products that you own or control as permitted by the App Store Terms of Service.

Maintenance and Support

Boréale Interactive Studio Inc. is solely responsible for providing maintenance and support for QRious. Apple has no obligation to provide any maintenance or support services.

Warranty

In the event of any failure of QRious to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for QRious to you (if applicable). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to QRious.

Product Claims

Boréale Interactive Studio Inc., not Apple, is responsible for addressing any claims by you or any third party relating to QRious or your possession and/or use of QRious, including: (i) product liability claims; (ii) any claim that QRious fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property

In the event that a third party claims that QRious or your possession and use of QRious infringes that third party's intellectual property rights, Boréale Interactive Studio Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Third-Party Beneficiary

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice within the App or by updating the "Last updated" date at the top of this document. Continued use of QRious after changes are posted constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Boréale Interactive Studio Inc. regarding QRious and supersede all prior agreements, understandings, or representations relating to the App.
